NORMATIVA APLICABLE A LA SUBASTA

1.- INSCRIPCIÓN Y CAUCION:

Para participar en la subasta es requisito indispensable realizar la inscripción y depositar (en garantía del cumplimiento de las obligaciones) una caución de QUINIENTOS EUROS (500.-€)
En caso de no adjudicación de ningún lote por parte del licitador, la caución se devolverá al finalizar la subasta o en el momento en que el licitador se retire de la sala.
La caución deberá realizarse mediante Cheque Conformado a favor de GRUPO HISPALENSE AGRÍCOLA, S.L. o bien en efectivo metálico.

2.- TERMINOS DE PAGO Y PROCEDIMIENTO

Inmediatamente después de finalizar la subasta, los compradores deberán realizar un depósito MÍNIMO equivalente al 25% del valor de la compra. Dicho pago deberá ser realizado en efectivo metálico o bien mediante cheque a GRUPO HISPALENSE AGRICOLA, S.L.
2º Pago (antes del 10 de Diciembre de 2.009), en efectivo o mediante Transferencia bancaria a la cuenta corriente de GRUPO HISPALENSE AGRÍCOLA, S.L. Cta. Nº 0030 5312 37 0000245271.
Los gastos totales de adquisición de los lotes estarán compuestos por:
Valor de remate en Subasta o valor de adjudicación
10% de comisión a favor de Legal Auctions Subastas, S.L.
I.V.A. correspondiente sobre el valor de remate y sobre la comisión.

3.- El abono o pago y la entrega de los caballos vendidos tendrá lugar de acuerdo con los artículos 7 y 9 de la Condiciones Generales de Venta. Se establecerán planes para la entrega a cada comprador.

4.- Los compradores quedan obligados a retirar todos los lotes antes del día 20 de Diciembre de 2.009.

5.- Hasta que el personal acreditado de LEGAL AUCTIONS SUBASTAS no verifique que el comprador ha efectuado el pago en su totalidad, no se entregará ningún lote vendido.

6.- Para evitar cualquier retraso administrativo, rogamos a los compradores que rellenen los boletines de inscripción al inicio de la Subasta, donde deberán indicar en letra de imprenta su Nombre, Empresa, Dirección, Número de Cuenta Bancaria, Nombre del Banco, Número de identificación fiscal y Teléfono de contacto.

7.- En la presente Subasta LEGAL AUCTIONS SUBASTAS actúa como organizador del acto de la Subasta.

Todos los pagos se harán en nombre de GRUPO HISPALENSE AGRÍCOLA, S.L. “Yeguada Torreluna”, propietaria o titular de los caballos, incluidos los honorarios o comisión (10%) de LEGAL AUCTIONS SUBASTAS, S.L.

NOTES FOR THE BUYERS

PLEASE READ CAREFULLY ALL CONDITIONS CONTAINED IN THIS CATALOGUE

1.- REGISTRATION AND DEPOSIT
a.- To participate in the auction it is necessary to register and to make a deposit of 500 euros at the auction´s office.

b.- Deposits will be refunded at the end of the auction or if the bidder leaves the premises.

c.- Deposits can be made either by cash or check to GRUPO HISPALENSE AGRICOLA SL (no credit cards).

2.- PAYMENT CONDITIONS
a.- Down payment of 25% of the buying price (same day of the auction). This payment should be done either by CASH or CHECK to GRUPO HISPALENSE AGRICOLA SL

b.- Total Payment. (not later than December 10th 2009). Cash or Bank transfer to GRUPO HISPALENSE AGRICOLA´S bank account.

c.- FINAL PRICE: To the total assigned bid you will need to add a 10% commission to Legal Auctions SL plus the legal tax applicable (if any)

3.- Payment and delivery of the sold horses will be carried out according to Articles 7 and 9 of the General Auction’s Conditions of Sale. Times will be established for the delivery to each buyer.

4.- The Buyer will be under the obligation to collect all lots no later than December 20th,2009.

5.- The horses sold will be handed over to the Buyer, on presentation of the invoice indicating that the General Sale Conditions have been complied with.

6.- To avoid any administrative delays we ask the buyers to fill in a Registration Form at the beginning of the auction, clearly indicating Name, Company Name, Address, and contacts.

7.- In the present tender, LEGAL AUCTIONS SUBASTAS, S.L. acts as an organizer of the event. All payments will be made to GROUP HISPALENSE AGRICULTURAL, S.L. "Stud Torreluna" owner of the horses, including the LEGAL AUCTIONS SUBASTAS, S.L. fees or commission (10%).

CONDICIONES GENERALES DE LA SUBASTA

Estas Condiciones Generales serán válidas para la compra en Subastas, cuya organización dependa y se lleve a cabo por LEGAL AUCTIONS SUBASTAS, S.L.

Definiciones:

- Las Condiciones Generales de esta Subasta se definen del siguiente modo:

LEGAL AUCTIONS SUBASTAS, S.L.: Entidad Especializada en Subastas con domicilio en Calle Gran Vía 69, 7º-13, 14 y 15, 28013 de Madrid, o la(s) persona(s) autorizadas por Legal Auctions Subastas, S.L. para organizar la Subasta.

1.	Subasta: Venta pública de caballos al mejor postor.

2.	Días de Subasta: Período de tiempo, compuesto por un número de días, consecutivos o no, durante los cuales la Subasta se efectúa en un local o sala.

3.	Lote: Un caballo/ ejemplar o un conjunto de caballos/ejemplares que van a Subastarse (con la designación de un número).

4.	Vendedor: Propietario o titular de los bienes: GRUPO HISPALENSE AGRÍCOLA, S.L. “Yeguada Torreluna”. Quien en virtud de algún derecho o título sobre esos caballos, encarga la organización del acto de la Subasta a LEGAL AUCTIONS SUBASTAS, S.L.

5.	Puja: Cualquier oferta por un lote, realizada por un potencial comprador en el transcurso de la Subasta.

6.	Licitador: Persona física o jurídica inscrita en la Subasta que realiza una puja.

7.	Remate: Cierre de la puja a la mejor oferta si ésta cubre el valor mínimo o valor base, o registro de la oferta que no cubriendo dicho valor base, más se aproxime. En este segundo caso, se registra la oferta y se contesta al postor en los días siguientes. Si se acepta definitivamente su oferta, ésta se considera desde el momento de la aceptación expresa, remate del lote en cuestión.

8.	Comprador o adjudicatario: Persona física o jurídica a la que se le adjudica un lote, o conjunto de lotes en la Subasta.

Precio de Adquisición o valor de remate : El valor de la mayor oferta o puja en Subasta, (valor de remate) incrementada por los dos siguientes costes:
10% del precio de valor de remate en los caballos a favor de LEGAL AUCTIONS SUBASTAS, S.L., más el I.V.A. sobre el valor de remate y la comisión.

10.	Entrega: La entrega de los lotes al comprador o a su representante autorizado, sin perjuicio de que la retirada de los ejemplares sea a cuenta del comprador (en el horario que establezca LEGAL AUCTIONS SUBASTAS S.L. EN COORDINACIÓN CON GRUPO HISPALENSE AGRÍCOLA, S.L)

11.	Condiciones especiales de Subasta : Las cláusulas que se aplican adicionalmente a las Condiciones Generales de Subasta, y que serán referidas en el catálogo de la Subasta o anunciadas oralmente antes de la Subasta del lote o de la combinación de lotes, a realizar por LEGAL AUCTIONS SUBASTAS, S.L.

Artículo 1º
Identificación e Inspección de los Lotes

1.	LEGAL AUCTIONS SUBASTAS, S.L. y el Vendedor administrarán una necesaria corrección y claridad en la descripción de cada lote en el catálogo y folletos de la Subasta, no siendo ninguno de los dos responsables por cualquier perjuicio derivado de alguna descripción incorrecta o incompleta.

2.	Todo aquel interesado en la adquisición o compra de un caballo podrá realizar, previamente una inspección física del animal a través del facultativo cualificado en aras a obtener una certificación veterinaria. Los costes de dicha certificación serán a cargo del propio interesado.

3.	Existirá un Certificado de Salud de los caballos que van a ser objeto de las Subastas.

4.	Responsabilidad frente a terceros: Saneamiento por vicios ocultos, lesiones, enfermedades, etc., de los ejemplares. Los compradores (que así lo expresarán al aceptar las condiciones de la Subasta a través de la inscripción) exoneran a LEGAL AUCTIONS SUBASTAS, S.L. y a EL VENDEDOR de cualquier responsabilidad por defectos, vicios ocultos, lesiones, enfermedades, etc., que pudieran tener los caballos en el momento de la venta, o de la entrega al comprador.

5.	Cada lote será vendido en el estado en el que se encuentra en el momento del remate. Presumiblemente, el comprador habrá asistido a los días de visita y habrá comprobado el estado general de los caballos. CADA CABALLO/EJEMPLAR SE VENDE COMO ESTÁ Y DONDE ESTÁ

Artículo 2º

Organización de la Subasta

1.	La organización, preparación y ejecución del acto de la Subasta es competencia de LEGAL AUCTIONS SUBASTAS, S.L.

2.	La Subasta transcurrirá siguiendo las pautas que constan en las condiciones generales y especiales del catálogo de la Subasta, reservándose LEGAL AUCTIONS SUBASTAS, S.L. el derecho a efectuar cualquier alteración que entienda conveniente.

3.	Cualquier dato que no estuviera señalado o numerado no será incluido en la Subasta sin previa autorización del vendedor y de LEGAL AUCTIONS SUBASTAS, S.L.

LEGAL AUCTIONS SUBASTAS, S.L. se reserva los siguientes derechos, los cuales pueden ser ejercidos tanto antes como durante la Subasta, sin necesidad de cualquier justificación:
- No considerar una oferta.
- Excluir uno o más potenciales compradores de la Subasta y reservarse el derecho de admisión.
- Unir datos y lotes, separar lotes y retirar datos / lotes de la Subasta.
- Relativo a todos los lotes, o a uno o más lotes, cancelar e interrumpir la Subasta, comenzar de nuevo, o retomar la Subasta en la penúltima licitación.
- Rectificar cualquier error de LEGAL AUCTIONS SUBASTAS, S.L. en las ofertas o remates, de modo que el potencial comprador no pueda obtener algún provecho con estos errores.
- Tomar cualquier otra medida necesaria, en su opinión.

5.	LEGAL AUCTIONS SUBASTAS, S.L. decidirá sobre cualquier error del licitador al hacer la oferta, y en consecuencia, deberá o no mantenerla o corregirla.

6.	La decisión de LEGAL AUCTIONS SUBASTAS, S.L. relativa al transcurso de la Subasta y la explicación y/o adaptación de la Condiciones Generales será definitiva.

7.	La discusión sobre cualquier asunto relativo a la Subasta se efectuará, siempre a ser posible, en una reunión en las oficinas de LEGAL AUCTIONS SUBASTAS, S.L., pudiendo las partes decidir de diverso modo.

Artículo 3º
Fechas establecidas para cada Subasta y desarrollo de las mismas.

1.	Las Subastas se llevarán a cabo los días 27, 28 y 29 de Noviembre, 2.009 en las instalaciones de GRUPO HISPALENSE AGRÍCOLA, S.L., sitas en Camino La Pastora, Parcela 20, URBANIZACIÓN El Socorro, en Carmona (Sevilla)

	1.1. 1ª SUBASTA: DIA 27 DE NOVIEMBRE 2.009 “PRIMERA SUBASTA”: Lotes del 1 al 45.
	1.2. 2ª SUBASTA: DIA 28 DE NOVIEMBRE 2.009, “SEGUNDA SUBASTA”: Lotes del 46 al 156.
	1.3. 3ª SUBASTA: DIA 29 DE NOVIEMBRE 2.009: Lotes del 157 al 198.

2.	Los lotes se adjudicarán a las ofertas más elevadas (Subasta al alza).

3.	Las ofertas serán hechas en público, de forma clara y visible, de modo que no se permita cualquier duda o sospecha en cuanto a la decisión del licitador. LEGAL AUCTIONS SUBASTAS, S.L. será autorizada a realizar ofertas a favor de terceros.

4.	Los licitadores podrán seguir cómodamente sentados la Subasta. Dispondrán de pantallas donde se presentarán las fotografías de los lotes y la evolución de las pujas.

5.	El licitador de la oferta más elevada es responsable de su licitación y será el Comprador del lote después del remate o – en caso de que el lote se encuentre condicionado a través de anuncio expreso en las Condiciones Especiales del Catálogo o anunciadas verbalmente al inicio de la licitación o de la Subasta - será el Comprador después de satisfechos o superados esos condicionantes.

6.	El licitador de la oferta más elevada y/o de la penúltima más elevada, mantendrá su oferta durante el día de Subasta, para en el caso de que el remate no tenga lugar o de que el lote no haya sido atribuido al comprador o a la oferta más elevada debido a eventuales circunstancias especiales.

7.	Después del remate no hay posibilidad de resolución del contrato de compra.

Artículo 4º
Ofertas

1.	Todas las ofertas serán incondicionales, irrevocables y sin restricción alguna.

2.	Si una o más personas conjuntamente adquirieran el derecho al lote a través de oferta, al igual que si ésta fuera realizada en grupo, serán solidariamente responsables relativamente de todas las obligaciones que deriven de su participación en la Subasta.

Artículo 5º
Ofertas en nombre de terceros; Ordenes de Compra

1.	La persona registrada en la Subasta y que haga una oferta será considerada como licitador, aunque ésta declare no haber adquirido el conjunto de lotes para sí mismo, y será personalmente responsable del cumplimiento de las obligaciones en relación a LEGAL AUCTIONS SUBASTAS, S.L. y al vendedor.

2.	LEGAL AUCTIONS SUBASTAS, S.L. puede aceptar órdenes de compra de potenciales compradores y puede imponer otras condiciones referentes a las órdenes de compra. LEGAL AUCTIONS SUBASTAS, S.L. o sus colaboradores, no pueden ser considerados responsables por negligencia o errores en la ejecución de las órdenes de compra. LEGAL AUCTIONS SUBASTAS, S.L. se reserva el derecho de recusar órdenes de compra y en caso de aceptación de una orden de compra, de exigir el pago parcial o el pago total del lote, en cuyo caso éste se efectuará a nombre de GRUPO HISPALENSE AGRÍCOLA, S.L.

Simultáneamente LEGAL AUCTIONS SUBASTAS, S.L. tiene el derecho de suspender la ejecución de una orden de compra, en caso de que la descripción del lote, o combinación de lotes, sea alterada en el transcurso de la Subasta y sustituida por otra descripción diferente de la existente en el catálogo de la Subasta.

4.	Las condiciones de la Subasta se aplican en la totalidad de las adquisiciones ejecutadas a través de una orden de oferta.

Artículo 6º
Remate, No-Remate y Cancelación

1.	El acuerdo de compra, como consecuencia de la Subasta será concluido a través del remate. El remate incluye el compromiso de proceder a la entrega, una vez que el comprador haya satisfecho todas sus obligaciones para con GRUPO HISPALENSE AGRÍCOLA, S.L. y LEGAL AUCTIONS SUBASTAS, S.L.

2.	LEGAL AUCTIONS SUBASTAS, S.L. tendrá los dos siguientes derechos : - No rematar - Rematar bajo condiciones expresas

Artículo 7º
Condiciones de Pago del Comprador

A solicitud de LEGAL AUCTIONS SUBASTAS, S.L., inmediatamente después del remate, del lote o de la Subasta el comprador deberá pagar en concepto de Señal a cuenta MÍNIMO el 20% del valor de remate, incluída la comisión de LEGAL AUCTIONS SUBASTAS, S.L. Esta cuantía, en caso de cheque, será emitida a la orden GRUPO HISPALENSE AGRICOLA, S.L. El comprador recibirá una factura proforma emitida por GRUPO HISPALENSE AGRÍCOLA, S.L. y gestionada por LEGAL AUCTIONS SUBASTAS, S.L.
LEGAL AUCTIONS SUBASTAS, S.L. se reserva el derecho de solicitar ampliaciones de la caución al comprador o adjudicatario de algún lote hasta cubrir al menos el 50% del valor de sus compras en ese momento.

El segundo pago deberá ser realizado por los compradores con anterioridad al 10 de Diciembre de 2.009, mediante transferencia bancaria a la cuenta corriente de GRUPO HSPALENSE AGRÍCOLA, S.L. que figura en el apartado 1.2. del –RESUMEN DE LAS CONDICIONES GENERALES DE LA SUBASTA , pudiéndose ampliar dicho plazo en circunstancias especiales con la conformidad de GRUPO HISPALENSE AGRÍCOLA, S.L. En el mismo momento de la entrega del caballo o en un plazo no superior a 15 días, contados desde el abono íntegro del caballo, el comprador recibirá la factura definitiva.
Será requisito indispensable haber abonado el 100% de la compra antes de retirar el/los ejemplar/es adjudicado/s.

En caso de recusa o imposibilidad del comprador para efectuar el depósito inicial o la señal a cuenta y/o para la presentación de la garantía bancaria, LEGAL AUCTIONS SUBASTAS, S.L. se reserva el derecho de Subastar nuevamente el lote o el conjunto de lotes, o de atribuir a la(s) oferta(s) más elevada(s) o a la(s) penúltima(s) más elevada(s), conforme al caso, o incluso venderlo en privado conforme a las condiciones de la Subasta.

En caso de que el comprador no respete las condiciones de pago antes descritas, no efectuando a su debido tiempo el restante pago del (de los) lote(s) rematado(s), la caución prestada así como las cantidades entregadas a cuenta se revertirán de inmediato a favor de GRUPO HISPALENSE AGRÍCOLA, S.L. , y de LEGAL AUCTIONS SUBASTAS, S.L.

Artículo 8º
Informaciones Obligatorias

Los compradores quedarán obligados a identificarse ante LEGAL AUCTIONS SUBASTAS, S.L., así como a proporcionar cualquier información que se considere necesaria para indagar si las partes intervinientes pueden o son capaces de cumplir con sus obligaciones financieras para con los organizadores de esta Subasta.

Artículo 9º
Entrega o Recogida de los caballos

1.	Después de que el comprador haya cumplido con sus obligaciones, respecto al pago en los términos de las condiciones arriba estipuladas, éste podrá retirar el(los) lote(s).

2.	Los compradores quedan obligados a retirar los caballos con anterioridad al día 20 de Diciembre de 2.009, en el horario estipulado por LEGAL AUCTIONS SUBASTAS, S.L. y GRUPO HISPALENSE AGRICOLA, S.L

3.	En caso de que la retirada de los caballos no se haya efectuado antes de esa fecha, a partir del día siguiente, 21 de Diciembre de 2.009 y durante 30 días, el comprador se verá obligado a abonar a GRUPO HISPALENSE AGRÍCOLA, S.L. la cantidad de 18.-€/día en concepto de manutención de cada caballo adquirido.

4.	En caso de que la retirada de los lotes no se haya efectuado, transcurridos 30 días desde la fecha límite establecida (20 de Diciembre 2.009), supondrá por parte del comprador el abandono tácito del caballo y la resolución de la venta a favor de GRUPO HISPALENSE AGRÍCOLA, S.L.

Artículo 10º
Cauciones
No serán pagados intereses por Legal Auctions Subastas, S.L y/o el vendedor, relativos a cualquier caución que les haya sido prestada por los compradores.

Artículo 11º
Días de Visita, Días de Subasta, Días de Entrega

Todo aquel que entre en las instalaciones de la Subasta en días de visita, días de Subasta, o en días de entrega, lo hace bajo su propia responsabilidad y riesgo.

Artículo 12º

Aplicabilidad de la Ley Española

A estas Condiciones Generales y relaciones jurídicas relativas a la Subasta, se les aplicará la Legislación Española.

Artículo 13º

Fuero

Para la resolución de eventuales litigios resultantes de la interpretación de las presentes Condiciones Generales y Especiales del catálogo de la Subasta, las partes se someten a la Competencia y Jurisdicción de los Juzgados y Tribunales de Sevilla.

En el caso de alguna controversia relacionada con los términos de ésta Subasta, el texto en Español prevalecerá sobre el texto en Inglés.

GENERAL CONDITIONS OF AUCTION

These General Conditions will apply for the purchase of goods at auctions to be held by Legal Auctions Subastas, S.L

Definitions:
The terms used in these general terms of auction shall have the following meanings:

LEGAL AUCTIONS SUBASTAS, S.L.: established in Spain, with business address: Gran Vía 69, 7º -13, 14 y15, 28013 Madrid or the person(s) authorised by LEGAL AUCTIONS SUBASTAS, S.L. for the organisation of the auction concerned.

1.	Auction: The public sale of horses to the highest bidder.

2.	Auction Days: The period, consisting of one or more days, consecutive or otherwise, on which the auction will be held in premises or a room.

3.	Lot: Horse or a group horses, which is/are to be auctioned (designating a number).

4.	Seller: Owner or holder of the property: GRUPO HISPALENSE AGRICOLA, S.L. “Yeguada Torreluna”. Who, in virtue of a right or property title on these horses, commissions the organisation of the Auction to LEGAL AUCTIONS SUBASTAS, S.L.

5.	Bid: Any sum offered for a lot carried out by a potential buyer during the Auction.

6.	Bidder: The individual or corporation registered at the Auction who makes a bid.

Allotment: Close of the bidding to the best offer if this covers the minimum value or base value, or registration of the offer which, the base value not being covered, is closest to that. In the second case, the offer is registered and the bidder will receive a reply in the following days. If their offer is finally accepted, it will be considered from the express acceptation, the allotment of the lot in question.

8.	Buyer/Successful Bidder: The individual or corporation to whom a lot or a combination of lots is awarded in the Auction.

9.	Final Bid Purchase Price: The value of the highest offer or bid at Auction (final value) in addition to to the two following costs: 10% of the final value price for the horses paid to LEGAL AUCTIONS SUBASTAS, S.L., + VAT on the final value and commission.

Delivery: The actual delivery of the lots to the purchaser or his authorized agent, notwithstanding the fact that removing the specimens may be charged to the buyer (at the time established by LEGAL AUCTIONS SUBASTAS S.L. IN COORDINATION WITH GRUPO HISPALENSE AGRICOLA, S.L).

Special Auction Terms : The provisions applying in addition to these general auctions terms, stated in the auction catalogue concerned, or orally announced before the auction of the lot or combination of lots concerned by LEGAL AUCTIONS SUBASTAS, S.L.

Article 1
Identification and Inspection of Lots

LEGAL AUCTIONS SUBASTAS, S.L. and the Seller strive for a necessary correctness and clarity in the description of each lot in auction catalogues and pamphlets, neither of the aforementioned individuals/corporations will be held responsible for any damage derived from any incorrect or incomplete description.

2.	Anyone interested in acquiring or purchasing a horse, may carry out a physical inspection of the animal using the qualified practitioner in order to obtain a veterinary certification during the week of 23rd to 27th of November. The costs of such certification will be met by the person concerned.

3.	There will be a Certificate of Health for the horses which are going to be the subject of auctions.
4.	Third party liability: Disencumbrance of hidden defects, injuries, illnesses, etc. The buyers (who will thus express on accepting the Auction Conditions by registering) exonerate LEGAL AUCTIONS AUCTIONS, S.L. and THE SELLER of any responsibility for defects, hidden defects, injury, illness, etc., which the horses may have at the time of the sale, or on delivery to the buyer.

5.	Each lot will be sold in the state in which it is found at the tine of the allotment. The Purchaser will be presumed to have attended on the visiting days and have checked the general state of the horses. EACH HORSES IS SOLD AS IT IS AND WHERE IT IS.

Article 2
Organisation of the Auction

1.	The organisation, preparation and carrying out of the auction is the competence of LEGAL AUCTIONS SUBASTAS, S.L.

2.	The auction will be carried out in accordance with the guidelines stated in the general and special conditions in the Auction catalogue, however, LEGAL AUCTIONS SUBASTAS, S.L. will have the right to carry out any alteration which it deems appropriate.

3.	Any detail not marked or numbered will not be included in the auction without the approval from either the Seller or LEGAL AUCTIONS SUBASTAS, S.L.

LEGAL AUCTIONS SUBASTAS, S.L. reserves the following rights, which can be exercised both before and during the auction without the need to be justified :

Not acknowledge a bid as such;
Exclude one or more prospective buyers from the auction and reserve the right to admission.
Join items and lots, to split lots and to withdraw item/lots from the Auction;
Insofar as it concerns all lots or one or more lots, cancel and interrupt the Auction, start again, or to resume the auction at the penultimate bid;
Rectify mistakes made by LEGAL AUCTIONS SUBASTAS, S.L in the offers and/or allotments, in order that the prospective buyer cannot make a profit from these mistakes;
Take any other necessary measures, in their opinion.

LEGAL AUCTIONS SUBASTAS, S.L. will decide whether a mistake has been made by the bidder in making the bid, and therefore may or may not maintain it or correct it.

6.	The judgement of LEGAL AUCTIONS SUBASTAS, S.L. as regards the development of the Auction and the explanation or adaptation of the General Auction Terms will be final.

7.	The decision regarding any matter concerning the Auction will be taken, whenever possible, at a meeting in the LEGAL AUCTIONS SUBASTAS, S.L. offices, the parties being able to choose another location if they wish.

Article 3
Dates set for each Auction and their execution.

1.	The Auctions will take place on 27th , 28th and 29th of November 2.009 at the GRUPO HISPALENSE AGRICOLA, S.L. premises, located at Camino La Pastora, Parcela 20, URBANIZACION El Socorro, Carmona (Sevilla)
	1.1. FIRST AUCTION DAY: November 27th 2009: Lots from 1 to 45.
	1.2. SECOND AUCTION DAY: November 28th 2009: Lots from 46 to 156.
	1.3. THIRD AUCTION DAY: November 29th: Lots from 157 to 198

2.	The lots will be awarded to the highest bids. (Open ascending price auction)

3.	Bidding will take place in public in a manner clearly observable in order that there is no doubt or suspicion regarding the bidder’s decision. LEGAL AUCTIONS SUBASTAS, S.L. will be authorised to carry out bids on behalf of third parties.

4.	The bidders may follow the Auction comfortably sat. They will have screens where the photos of the lots and the execution of the bidding will be shown.

5.	The bidder of the highest bid is responsible for his bid and will be the lot’s purchaser after allotment or – in the event that the lot has a condition placed by express statement in the Special Conditions of the Catalogue or verbally stated at the beginning of the bidding or the Auction – will be the Buyer after he has satisfied or passed these conditions.

The bidder of the highest bid or the bidder of the penultimate highest bid will be held to his bid during the auction day, in the event that the allotment does not take place or turns out not to have been attributed to the buyer or the highest offer due to highest bidder because the suspensory condition has not been fulfilled.

7.	Lots will be sold to the highest bid. Minimum values may however be imposed on some lots. When the highest bid is less than the minimum value, LEGAL AUCTIONS SUBASTAS, S.L. will register this highest offer. LEGAL AUCTIONS SUBASTAS, S.L. will have the information of the approved offers within 7 days. GRUPO HISPALENSE AGRÍCLOLA, S.L. retained the bond to guarantee, until it is approved or rejected the offer. In the event of a lot/s not being awarded in that period, GRUPO HISPALENSE AGRÍCOLA, S.L. will return that bond to the Buyer. The Registration of Offer is irrevocable, so that the Buyer cannot withdraw its offer and is obliged to pay the remainder of their purchase within 48 hours following receipt of the communication of LEGAL AUCTIONS SUBASTAS, .S. L. with confirmation of the acceptance. In case of not complying with its obligations in the period providedthey will lose the surety paid.

8.	After allotment the purchase agreement may not be repudiated

Article 4
Bids

1.	Any bid will be unconditional, irrevocable and without restrictions.

2.	If one or more persons jointly acquire the right to a lot by bidding, or if they form part of a group, they will be severally liable together for the obligations resting on them by virtue of the auction.

Article 5
Bids made on behalf of third parties – Purchase order

The person registered at the Auction and who actually carries out the bid will be considered as the bidder, even if he declares not to have acquired for himself the group of lots, and will be personally responsible for complying with the obligations as regards LEGAL AUCTIONS SUBASTAS, S.L. or the Seller.

LEGAL AUCTIONS SUBASTAS, S.L. may accept bidding orders from potential buyers, and may impose further conditions as regards these purchase orders. Neither LEGAL AUCTIONS SUBASTAS, S.L. or its personnel may not in any way be held responsible for negligence or mistakes in the execution of the purchase orders. LEGAL AUCTIONS SUBASTAS, S.L. will have the right to refuse purchase orders and in the event of acceptance of a purchase order, they may demand full or partial payment of the lot, in which case it will be carried out on behalf of GRUPO HISPALENSE AGRÍCOLA, S.L.

At the same time LEGAL AUCTIONS SUBASTAS, S.L. will have the right to refrain from the execution of a purchase order, if the description in the auction catalogue of the lot or combination of lots to which the bidding orders relates is changed during the auction and substituted with another description.

4.	The auction terms apply to all purchases carried out by execution of a bidding order.

Article 6
Allotment, Non-Allotment and Cancellation

1.	The purchase agreement, as a consequence of the auction, will be finalised by the allotment. The allotment includes the business agreement to deliver once the buyer has satisfied all the obligations to GRUPO HISPALENSE AGRÍCOLA, S.L. and LEGAL AUCTIONS SUBASTAS, S.L.

2.	LEGAL AUCTIONS SUBASTAS, S.L. will have the following rights : Not to allot To allot under express conditions

Article 7
Purchaser’s Payment Obligations

At the request of LEGAL AUCTIONS SUBASTAS, S.L. and immediately after allotment, lot or Auction the purchaser shall pay a deposit of a MINIMUM of 20% of the allotment value, including the commission for LEGAL AUCTIONS SUBASTAS, S.L. This amount, in the case of a cheque, will be made out to GRUPO HISPALENSE AGRÍCOLA, S.L. The buyer will receive a pro forma invoice issued by GRUPO HISPALENSE AGRÍCOLA, S.L. and administered by LEGAL AUCTIONS SUBASTAS, S.L. LEGAL AUCTIONS SUBASTAS, S.L. reserves the right to request extensions of the security from the buyer or successful bidder of a lot to cover at least 50 percent of the value of their purchases at that time.

The second payment should be carried out by the buyers no later than December 10th 2009, by bank transfer to the current account of GRUPO HISPALENSE AGRÍCOLA, S.L. stated in section 1.2. of the SUMMARY OF THE GENERAL CONDITIONS OF AUCTION; said time period can be extended in special circumstances in accordance with GRUPO HISPALENSE AGRICOLA, S.L. On delivering the horse or within a time period of no more than 25 days, from the payment of the entire amount for the horse, the buyer will receive the final invoice.
Payment of 100 per cent of the purchase, should be carried out before proceeding to withdraw the lot (s).

In the event of refusal or inability of the purchaser to satisfy the initial deposit, and/or for the submittal of the bank guarantee, LEGAL AUCTIONS SUBASTAS, S.L. reserves the right to Auction the lot or group of lots again, or to allot them to the highest bidder(s) or the penultimate highest bidder(s), as the case may be, or be sold privately according to the terms of the auction.

If the successful bidder does not respect the aforementioned payment terms, not carrying out in due tine the rest of the payment of the lot(s) auctioned, the deposit paid as well as the amounts paid into the account will be immediately placed in the hands of GRUPO HISPALENSE AGRÍCOLA, S.L. and LEGAL AUCTIONS SUBASTAS, S.L.

The assistant to the auction is obliged to meet a LEGAL AUCTIONS SUBASTAS, S.L. 10% on the value of auction. Any incidence that could lead to a resolution of the buying and selling, not released in any case to the contractor to pay the fees of LEGAL AUCTIONS SUBASTAS, S.L. Accordingly, the non-payment of a party, or of the total purchase (lots awarded) by the buyer, does not relieve it of payment to LEGAL AUCTIONS SUBASTAS, S.L. the commission stipulated, notwithstanding, on behalf of the seller, or directly the seller, exercising legal actions, in right assist them.

Article 8
Compulsory Information

Every bidder will be under the obligation to properly prove his identity if requested by LEGAL AUCTIONS SUBASTAS, SL. As well as providing all the necessary information in order to investigate whether the party (ies) involved can/will be able to satisfy his/their financial obligations resulting from this auction.

Article 9
Delivery or Collection of Horses

1.	As soon as the purchaser has satisfied all his payment obligations as afore-stated, the purchaser may collect the lot(s).

2.	The purchasers will be under the obligation to collect the horses not later than 20th of December 2009, at a time stated by LEGAL AUCTIONS SUBASTAS, S.L. and GRUPO HISPALENSE AGRICOLA, S.L.

3.	In the event that the collection of the horses has not been made before that date, from the next day, (December 21st 2009) and for 30 days, the buyer will be obliged to pay GRUPO HISPALENSE AGRÍCOLA, S.L. the amount of €18 /day for maintenance of each horse acquired.

4.	In the event that the collection of the lots has not been made within 30 days after the deadline for collection (December 20th 2009), this will be understood as the tacit abandoning of the horse and the repudiation of the sale in favour of GRUPO HISPALENSE AGRÍCOLA, S.L.

Article 10
Securities
LEGAL AUCTIONS SUBASTAS, S.L. and/or the Seller will not pay any interests on any security they have been aid by the buyers.

Article 11
Viewing Days, Auction Days, Delivery Days

1.	Those who enter Auction buildings on the viewing days, auction day, or on delivery days, will do so at their own risk.
2.	LEGAL AUCTIONS SUBASTAS, S.L. and the Seller do not accept any responsibility for any damage to the parties involved, which entails the entering of said buildings and sites.

Article 12
Applicability of Spanish Law

1.	Spanish Law will be applied to these general terms and legal relations regarding the auction.

Article 13
Exemption from Territorial Jurisdiction

For any dispute inherent in or deriving from this document, jurisdiction shall belong exclusively to the Courts of Sevilla.

IN CASE OF ANY DISPUTES THE SPANISH TEXT OF THESE AUCTION TERMS WILL BE GIVEN PREFERENCE OVER THE ENGLISH TEXT.
